PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using OffMarketPropertyLink.co.uk (the “Site” or the “Platform”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and OffMarketPropertyLink.co.uk (“OffMarketPropertyLink,” “we,” “us,” or “our”). They apply to all users of the Platform, including Property Sourcers and Investors (as defined below). If you do not agree with any part of these Terms, you must not use the Site or the services provided through it. We also encourage you to review our Privacy Policy (which is incorporated into these Terms by reference) to understand how we collect and use personal data. For any questions about these Terms, please contact us at contact@offmarketpropertylink.co.uk.
For the purposes of these Terms, the following definitions apply:
OffMarketPropertyLink.co.uk (or the Platform): The online platform and service provided at OffMarketPropertyLink.co.uk that connects Property Sourcers with Investors for off-market property deals. “We,” “us,” or “our” refers to the owner/operator of this Platform.
Property Sourcer (or Sourcer): An independent property sourcing professional or company who uses the Platform to introduce and offer off-market property deals. Property Sourcers are not employees, agents, or representatives of OffMarketPropertyLink, but rather third-party service providers who operate independently.
Investor: An individual or entity using the Platform to find or evaluate off-market property investment opportunities. Investors may be introduced to Property Sourcers via the Platform. Investors are also independent third parties and are not employed or directed by OffMarketPropertyLink.
User: Any person or entity who accesses or uses the Platform, whether as a registered Property Sourcer, a registered Investor, or an unregistered visitor. “You” or “your” refers to you as a User of the Site.
Deal (or Off-Market Deal): Any property investment opportunity or transaction facilitated through an introduction on the Platform. This includes any sale, purchase, investment, or other property transaction that a Property Sourcer and an Investor negotiate and/or complete after being connected via OffMarketPropertyLink.
Sourcing Fee: The fee or commission that a Property Sourcer charges an Investor for sourcing a property deal. This fee is negotiated between the Sourcer and Investor as part of their independent agreement for a Deal.
Commission: The commission fee owed to OffMarketPropertyLink by a Property Sourcer for use of the Platform, defined as 10% of the Property Sourcer’s Sourcing Fee (or other commission earned) on any Deal closed with an Investor introduced through OffMarketPropertyLink. This Commission is due upon the successful completion of a Deal (as further detailed in these Terms).
Third-Party Services: Any services or products provided by parties other than OffMarketPropertyLink or the immediate parties to a Deal. This may include, for example, conveyancers, solicitors, surveyors, mortgage brokers, contractors, or other vendors that a Property Sourcer or Investor might introduce or recommend in connection with a Deal.
Eligibility: To use OffMarketPropertyLink, you must be at least 18 years old and have the legal capacity to enter into contracts. By registering as a Property Sourcer or an Investor, you represent that you meet these eligibility requirements. If you are registering or using the Platform on behalf of a company or other organization, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” in these Terms will refer to that entity.
Account Registration: Certain features of the Platform (such as connecting with other users or accessing detailed deal information) require you to register for an account as either a Property Sourcer or an Investor. You agree to provide accurate, current, and complete information during registration and to update your account information promptly if it changes. Each user may be required to create a unique username and password or use other secure login credentials. You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your account. You agree to notify us immediately at contact@offmarketpropertylink.co.uk of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to secure your account credentials.
Account Use and User Responsibilities: You agree to use the Platform only for its intended purpose of connecting Property Sourcers and Investors for legitimate off-market property deals. All Users (both Sourcers and Investors) must conduct themselves in a professional manner and comply with all applicable laws and regulations when using the Platform. You must not use the Site to engage in any illegal, fraudulent, or harmful activity, including (but not limited to) posting false or misleading information, infringing any third-party rights, harassing or abusing other users, or circumventing any contractual or legal obligations. We reserve the right to suspend or terminate your account if we have reason to believe you have violated these Terms or engaged in improper conduct, as described further below.
Introducer Only: OffMarketPropertyLink acts solely as an introducer and intermediary between Property Sourcers and Investors. Our Platform is designed to facilitate initial contact and communication between independent parties. We do not buy, sell, or broker property ourselves, and we are not a party to any subsequent agreements or transactions between a Property Sourcer and an Investor. Any Deal that arises from an introduction on our Platform is negotiated, agreed, and executed exclusively between the Property Sourcer and the Investor. OffMarketPropertyLink is not an estate agency, not a lender or financial advisor, and does not provide investment, legal, or tax advice. We do not act as an agent for either party in the sense of creating legal obligations on their behalf. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between OffMarketPropertyLink and any User, or between any Investor and any Property Sourcer.
Independence of Property Sourcers: All Property Sourcers using our Platform operate as independent, third-party professionals or businesses. OffMarketPropertyLink does not direct or control the actions of Property Sourcers and does not endorse or guarantee any specific Property Sourcer or Deal. Property Sourcers are not employees, representatives, or agents of OffMarketPropertyLink, and they have no authority to bind OffMarketPropertyLink to any agreements or make representations on our behalf. OffMarketPropertyLink simply provides the venue and tools for Sourcers to connect with Investors. As independent operators, Property Sourcers are responsible for ensuring they have all necessary licenses, registrations, and regulatory compliance required by law (for example, being registered with a property redress scheme, complying with HMRC anti-money-laundering (AML) regulations, and holding appropriate insurance, if applicable under UK law). OffMarketPropertyLink does not warrant or verify that any given Property Sourcer has satisfied these requirements, though we may, at our discretion, perform basic checks or ask for proof of compliance during registration. Ultimately, it is the responsibility of each Property Sourcer to operate legally and ethically, and it is the responsibility of each Investor to vet any Sourcer they engage (see Investor obligations below).
No Guarantee of Deals or Success: While we strive to maintain a network of qualified Investors and compliant Property Sourcers, OffMarketPropertyLink does not guarantee that Property Sourcers will successfully close deals or that Investors will find suitable investment opportunities. We make no promise that using the Platform will result in any property purchase, sale, investment, or profit. Our role is limited to making introductions and, where appropriate, facilitating communication. All decisions about whether to proceed with a potential Deal, how to structure it, and whether it is suitable or profitable are solely made by the Property Sourcer and the Investor involved. You acknowledge that all investments in property carry risk, including the possible loss of capital, and that OffMarketPropertyLink has no responsibility for the outcome of any Deal.
Information on the Platform: Any information, property listings, deal summaries, investment projections, or other content available on the Platform is provided by the Property Sourcers (or occasionally by Investors or third parties where noted). OffMarketPropertyLink is not the author or originator of that content and does not independently verify or audit the accuracy, completeness, or legality of such information. For example, Property Sourcers may post descriptions of properties, financial estimates, or statements about a Deal – all such content is the sole responsibility of the Sourcer providing it. We may perform cursory reviews or require Sourcers to confirm certain facts (like ownership of a deal or basic compliance information), but we do not guarantee that all information is correct or up-to-date. Investors should not rely solely on information found on the Platform and must perform their own due diligence (see below) before proceeding with any Deal. OffMarketPropertyLink disclaims any liability for errors, omissions, or misrepresentations in user-provided content.
Third-Party Links and Referrals: The Platform may display links to third-party websites or recommend third-party service providers (for example, a conveyancer, mortgage broker, surveyor, or legal advisor that a Property Sourcer or Investor might work with). These links or referrals are provided for convenience only. OffMarketPropertyLink does not endorse, guarantee, or take responsibility for third-party services or websites. If a Property Sourcer or Investor chooses to engage any third-party services (whether introduced through the Platform or otherwise), that engagement is entirely at your own risk and discretion. We encourage Users to vet any third-party professional just as carefully as they would vet a Deal or counterparty. OffMarketPropertyLink is not responsible for any acts, errors, or omissions of any third parties, nor for any loss or damage you may suffer by using those third-party services.
This section applies specifically to Users who register or act as Property Sourcers on the Platform.
Accurate Profile and Deal Information: As a Property Sourcer, you agree to provide true, accurate, and complete information about yourself/your company and any Deals you present through the Platform. This includes information in your profile (such as your experience, credentials, or regulatory compliance details) and information about each property or opportunity you share with Investors. You must not post or provide any information that you know is false or misleading, and you must update any information that becomes outdated or incorrect. If a Deal is no longer available or circumstances change (for example, you sell it through another channel or it becomes under offer), you agree to promptly update or remove the listing from our Platform. You are solely responsible for the content you provide to the Platform, and you represent that you have the rights and permissions to share all information and materials (including any property details or images) that you post. By providing content on the Platform, you grant OffMarketPropertyLink a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute that content as needed to operate the Platform and introduce your Deals to Investors. We do not claim ownership of your content, but this license allows us to show it to prospective Investors and promote your deals within the Platform’s functionality. We reserve the right to remove or edit any content that violates these Terms or applicable law, or that we deem inappropriate, in our sole discretion.
Commission Fee to OffMarketPropertyLink: Transparent & Fair – You only pay when you succeed. As a Property Sourcer, you agree to pay OffMarketPropertyLink a Commission fee equal to 10% of the Sourcing Fee or commission that you earn from any Deal with an Investor whom you first met or were introduced to through our Platform. In other words, if you successfully close an off-market property transaction with an Investor contact gained via OffMarketPropertyLink, you owe us 10% of the gross fee or commission you charge that Investor for that deal. This Commission is due upon closing of the deal (i.e., when the property sale or investment transaction is contractually completed and your Sourcing Fee becomes payable by the Investor). OffMarketPropertyLink will typically invoice you for the Commission promptly after closing, and you agree to pay that invoice within the timeframe stated (if no timeframe is stated on the invoice, the default is within 14 days of receipt). If a deal does not successfully close, then no Commission is owed for that opportunity. However, if a deal fails and you later consummate a substantially similar transaction with the same Investor for the same property (or the same investment opportunity) outside of the Platform, that will be treated as a successful Deal resulting from the Platform introduction, and our Commission will still be due.
Repeat Deals with Introduced Investors: The obligation to pay the 10% Commission extends to any and all follow-up or repeat Deals that you close with the same Investor introduced to you via OffMarketPropertyLink, unless otherwise agreed by us in writing. This means that if you build an ongoing business relationship with an Investor we connected you with, and you go on to close multiple deals with that Investor over time, you must pay the 10% Commission on each of those deals as well. We value the connections made on our Platform and this policy ensures that OffMarketPropertyLink is fairly compensated for introductions that lead to multiple transactions. Only if we have explicitly agreed in a written and signed document to modify or waive our Commission for a specific future transaction (which we might do in special circumstances, at our discretion) will the above obligation not apply. In the absence of such an agreement, you should assume every successful transaction with an introduced Investor triggers the standard Commission. Non-payment of Commission (including attempts to evade or conceal a qualifying Deal) is considered a serious breach of these Terms and may result in legal action to recover the owed fees, as well as suspension or termination of your account.
Handling Introductions and Non-Circumvention: When OffMarketPropertyLink introduces you to a prospective Investor, that introduction is made in confidence for the sole purpose of pursuing potential property deals through the Platform. You agree that you will not circumvent or bypass OffMarketPropertyLink in your interactions with Investors introduced by us. In particular, you must not privately solicit or engage in property transactions with an introduced Investor outside of the Platform in order to avoid paying the Commission or to otherwise exclude the Platform from the process. You also must not share an Investor lead provided by OffMarketPropertyLink with other sourcers, colleagues, or any third party, nor attempt to route a deal with that Investor through a different channel. Any attempt to do so will not only still obligate you to pay the Commission (as if the Deal had occurred through the Platform), but will also violate our Non-Circumvention and Confidentiality provisions (detailed below). Our aim is to create a trusted environment with no upfront costs, where you only pay upon success – we expect the same good faith in return, requiring that introductions made via our Platform are honored and not exploited to cut us out.
Independent Deal Negotiation: While the Platform connects you with Investors, you maintain complete control over how you negotiate and structure your Deals. OffMarketPropertyLink does not supervise or dictate the terms you agree upon with an Investor. As a Property Sourcer, you are free to set your own Sourcing Fee, negotiate purchase prices, contract terms, timelines, and any other details directly with the Investor. However, you are solely responsible for ensuring that any agreement you enter with an Investor (for example, a sourcing agreement, finder’s fee agreement, or sale contract) is fair, lawful, and enforceable. We strongly advise having proper written agreements in place with Investors for any transaction, and to seek independent legal advice if needed. OffMarketPropertyLink will not draft, review, or provide legal approval of your agreements, and we are not responsible for any disputes arising from the terms of a deal between you and an Investor.
Regulatory Compliance and Conduct: You agree that in your role as a Property Sourcer you will comply with all laws and regulations applicable to property sourcing and real estate transactions in the jurisdictions involved (for example, compliance with UK Estate Agents Act 1979 if applicable, data protection laws, anti-money laundering laws, and obligations to be part of a redress scheme and have necessary certifications). You are responsible for obtaining and maintaining any licenses or registrations required to operate as a property sourcer or to receive commissions on property deals. OffMarketPropertyLink is not responsible for advising you of your legal obligations; it is up to you to know and follow them. You also agree to maintain professional standards when dealing with Investors from our Platform: you will act honestly, transparently, and courteously, and not engage in any practices that could be considered unethical or illegal (such as taking deposits or fees from Investors under false pretenses, misrepresenting a deal’s status, or failing to disclose material information about a property). If we receive complaints about your conduct or suspect that you are violating laws or these Terms, we reserve the right to investigate and, if necessary, remove you from the Platform.
No Endorsement or Agency: You must not state or imply to Investors that any deal is “approved” or vetted by OffMarketPropertyLink, or that you are acting on behalf of OffMarketPropertyLink in offering the deal. As noted, you are an independent operator. Any branding or references to OffMarketPropertyLink in your communications with an Investor should be limited to the fact that the introduction was made through the Platform. You are not authorized to make any representations or warranties to an Investor on our behalf. Similarly, you acknowledge that we do not endorse or certify any particular Investor – any indication that an Investor is “vetted” simply means we have performed some basic due diligence (such as confirming proof of funds) to reduce obvious time-wasters, but it is not a guarantee of their reliability. It remains your responsibility to assess the credibility and seriousness of any Investor you engage, just as it is the Investor’s responsibility to assess you and the deal.
This section applies specifically to Users who use the Platform as Investors seeking property deals.
Due Diligence: As an Investor, you understand and acknowledge that OffMarketPropertyLink is an information and introduction platform only. You are solely responsible for conducting your own due diligence on any Property Sourcer you connect with and any property or investment opportunity (“Deal”) presented to you. This means you should, at a minimum, independently verify important details before proceeding with a transaction. For example, you should consider verifying ownership or control of the property, confirming that the Property Sourcer has the right to offer the deal, assessing the property’s condition, verifying any financial figures or rental yields provided, and performing local market research. If you decide to pursue a Deal, you should engage qualified professionals as needed (such as chartered surveyors, solicitors for conveyancing, independent financial advisors, etc.) to evaluate the property and assist in the transaction. Do not rely solely on statements made on the Platform or by the Property Sourcer; while many Sourcers are experienced professionals, OffMarketPropertyLink does not audit or guarantee their claims. It is up to you to investigate and make an informed decision. You acknowledge that investing in property carries inherent risks and that you will not hold OffMarketPropertyLink responsible for any losses or damages resulting from your investment decisions.
No Advice or Endorsement: You agree that you are not receiving investment advice, financial advice, or any personal recommendations from OffMarketPropertyLink. Any insights or content on our Site (such as market analysis or deal comparisons) are for general informational purposes and do not constitute regulated advice tailored to your situation. OffMarketPropertyLink is not authorized or regulated by the Financial Conduct Authority (FCA), and we do not provide any services that would require such regulation. The presence of a particular Property Sourcer or Deal on the Platform does not mean we have endorsed its quality, value, or likelihood of success. You must make your own judgments or seek advice from qualified professionals before acting on any opportunity. If the Site allows Investors to see ratings or reviews of Property Sourcers (for instance, from other investors), you should treat those as subjective opinions, not as guarantees. Ultimately, every investment decision is your own responsibility.
Independent Agreements with Property Sourcers: If you choose to move forward with a Deal, you will likely enter into one or more agreements with the Property Sourcer (such as a sourcing or finder’s fee agreement, and then eventually a contract to purchase the property or invest in the project). OffMarketPropertyLink is not a party to those agreements and has no control over their terms. You should carefully review all terms proposed by the Property Sourcer, negotiate as needed, and consider obtaining independent legal advice before signing anything. Any fees or purchase monies you agree to pay as part of a Deal (such as a sourcing fee, deposit, or purchase price) are matters strictly between you and the Property Sourcer (and/or the seller of the property, if different). OffMarketPropertyLink does not handle client funds, escrow deposits, or payments on either party’s behalf, and we are not responsible for transferring title or ensuring that either party performs its obligations. Make sure you understand who you are paying and for what, and that those arrangements are securely documented. If a dispute arises between you and a Property Sourcer (or any seller) regarding a deal, you must resolve it with them directly – OffMarketPropertyLink is not responsible for mediating such disputes, though we do welcome feedback and may choose to intervene by suspending or removing a User from the Platform if we believe they acted fraudulently or in bad faith.
Non-Circumvention and Good Faith: By using OffMarketPropertyLink as an Investor, you agree that you will not attempt to circumvent the Platform’s role or the Property Sourcer’s relationship with the Platform. If a Property Sourcer is introduced to you through OffMarketPropertyLink, you should conduct Deal discussions through the proper channels and not deliberately exclude the Platform or encourage the Sourcer to avoid their obligations to the Platform. For example, you should not suggest to a Property Sourcer that they could give you a discount or better terms if they deal with you privately outside the Platform’s knowledge; doing so would induce a breach of these Terms for the Sourcer and is prohibited. Likewise, you should treat the identities and contact details of Property Sourcers (and any potential sellers or properties you learn about through them) as confidential information obtained through OffMarketPropertyLink, and you must not pass that information to third parties not involved in the potential transaction without permission (see Confidentiality and Non-Circumvention below for details). Remember that Property Sourcers using our Platform have agreed to pay us a Commission for any successful deal – this is how we sustain the service. As an Investor, you are not charged any separate fee by us for basic usage of the Platform (as detailed in the Fees section below), but we expect your cooperation in ensuring the integrity of the Platform’s business model. Engaging in off-platform dealings with a Sourcer introduced to you here, in an attempt to avoid our involvement, is considered a violation of these Terms and could result in suspension of your access to the Platform.
Evaluation of Third-Party Services: In the course of pursuing a Deal, a Property Sourcer or OffMarketPropertyLink may refer you to third-party service providers (for example, a mortgage broker to assist with financing, a law firm for conveyancing, or a contractor for renovation estimates). While such referrals are meant to be helpful, you acknowledge that any third-party service is independent of OffMarketPropertyLink, and we do not endorse or guarantee their services. You should perform your own due diligence on any recommended provider, just as you do on the Deal itself. Any engagement you enter with third-party providers is at your own risk and governed by whatever agreement you form with them. OffMarketPropertyLink will not be liable for any issues arising from services provided by third parties, even if the introduction came through our Platform or through a Property Sourcer using our Platform.
For Property Sourcers: Using OffMarketPropertyLink is free to join and free to receive introductions — there are no upfront costs or listing fees. The only fee you pay to OffMarketPropertyLink is the Commission of 10% of your Sourcing Fee or commission on deals that successfully close with Investors introduced to you via the Platform. This Commission structure is designed to be fair and success-based: if you do not close a deal, you owe us nothing; if you do close a deal, you pay us a small percentage of what you earn. The details of this Commission obligation are outlined in the Property Sourcers section above. To reiterate key points: the Commission is triggered upon completion of a Deal with a Platform-introduced Investor, including repeat transactions with that Investor. We will typically invoice you for the Commission due, and you must pay according to the invoice terms (generally within 14 days). All Commission fees are exclusive of VAT (sales tax) or other applicable taxes, unless specified otherwise. If you fail to pay the Commission when due, OffMarketPropertyLink reserves the right to charge statutory interest on the overdue amount (as allowed by law), recover the debt through legal proceedings, and/or deduct the amount from any other funds or payments that might come through the Platform (if such functionality exists in the future). You are also responsible for any costs of collection (such as legal fees) incurred by us due to your non-payment. By accepting these Terms, you acknowledge that the 10% Commission is a rightful and reasonable fee for the service and introduction provided, and you waive any defense to the enforceability of that fee under these Terms.
For Investors: At present, OffMarketPropertyLink does not charge Investors any registration or usage fee to access the Platform and be introduced to Property Sourcers. You may browse available deals, request introductions, and communicate with Property Sourcers free of charge. However, note that Property Sourcers will typically charge you a Sourcing Fee or commission of their own if you proceed with a Deal (which is separate from any property purchase price). That Sourcing Fee is determined between you and the Sourcer. OffMarketPropertyLink’s Commission comes out of the Sourcer’s fee as described above, not directly from you. We do reserve the right in the future to introduce premium services or subscription plans for Investors (for example, a paid membership that offers early access to deals or additional features), but any such change will be communicated and would involve a modification of these Terms with appropriate notice. For now, the Platform’s basic services are funded by the Commission on successful deals, which is paid by Property Sourcers. Investors should never pay OffMarketPropertyLink directly for any deal or introduction. If anyone – whether a Property Sourcer or someone claiming to represent OffMarketPropertyLink – asks you to pay a fee to OffMarketPropertyLink outside of the Sourcing Fee arrangement, please notify us at once. The only circumstances where you might owe money related to the Platform would be if you separately engage OffMarketPropertyLink for some value-added service (not covered here) or if you are ordered by a court or authority to pay damages or costs due to a breach of these Terms. In normal usage, your cost as an Investor is simply the investment capital and any agreed fees paid to the Property Sourcer and other parties involved in the transaction, not to OffMarketPropertyLink.
Confidential Information: In the course of using OffMarketPropertyLink, Users (both Property Sourcers and Investors) may receive or have access to confidential information about other parties or about OffMarketPropertyLink’s business. For Property Sourcers, this could include an Investor’s identity, contact information, financial capacity, and investment objectives. For Investors, this could include details of off-market property opportunities, seller information, deal terms, or a Property Sourcer’s proprietary sourcing methods. Additionally, any communications from OffMarketPropertyLink to you (such as the contact details of a potential Investor or Sourcer, or non-public information about how we operate) should be treated as confidential unless we state otherwise. You agree to treat all such information as Confidential Information and to use it only for the intended purpose of evaluating and potentially consummating a Deal through the Platform. You must not disclose or share Confidential Information with any third party except: (a) with the other party to the potential transaction (obviously, a Sourcer can share deal info with the intended Investor and vice versa), (b) with your professional advisors who have a need to know for the purpose of assisting you (for example, you may share details with your lawyer, accountant, or mortgage broker, provided they agree to keep it confidential), or (c) as required by law or court order (if you are compelled by legal process to disclose information, you should give the owner of that information notice if lawful to do so, so they have a chance to object). Each User agrees not to use Confidential Information obtained through the Platform for any purpose outside the scope of the potential property deal or relationship for which it was provided. For example, as an Investor you should not use details about a property deal you learned on the Platform to go directly to the property owner/seller or to inform another investor who might try to usurp the deal. As a Property Sourcer, you should not reveal an Investor’s contact or criteria to another sourcing agent or use it to market unrelated opportunities. These confidentiality obligations continue even after you cease using the Platform or after a particular deal is completed or no longer pursued. (In other words, just because a deal didn’t go through or you or the other party leave the Platform, you still must keep the information learned confidential indefinitely.)
Non-Circumvention: In line with the Commission provisions and ethical use of the Platform, all Users expressly agree to a Non-Circumvention covenant. If you are a Property Sourcer, this means you will not bypass OffMarketPropertyLink to work directly with an Investor introduced by us in any current or future deal without our knowledge and involvement (and payment of the applicable Commission). If you are an Investor, it means you will not circumvent the Platform by directly engaging a Property Sourcer (introduced through OffMarketPropertyLink) for new or additional deals in a way that intentionally avoids the Sourcer’s obligation to pay Commission to the Platform. The purpose of this clause is to protect the legitimate business interests of OffMarketPropertyLink in the introductions it makes. You agree that you shall not, either alone or in conjunction with others, attempt to contact, negotiate, or enter into any agreement or transaction with any party introduced to you via OffMarketPropertyLink, regarding an off-market property deal, without going through the Platform or otherwise ensuring OffMarketPropertyLink’s awareness and entitlement to its Commission. This non-circumvention obligation applies during your use of the Platform and for a period of at least 24 months after (i) your last interaction with a given party via the Platform, or (ii) the termination of your account, whichever is later. (If local law implies a different reasonable period, that period shall apply, but in principle Users should assume a two-year non-circumvention window as a minimum standard.) Because this Platform is built around trust and fair dealing, any breach of this clause is considered a material breach of these Terms. In the event of a breach of the non-circumvention obligations, OffMarketPropertyLink reserves the right to pursue all available remedies. These may include, without limitation: (a) immediate termination of your account, (b) recovery of the Commission fee that would have been due had the transaction been disclosed, (c) additional damages to compensate for lost business opportunities, harm to our reputation, or time and expenses incurred to enforce our rights, and (d) injunctive relief to prevent further breaches (you acknowledge that monetary damages alone may not fully repair the harm from a deliberate circumvention, thus injunctive orders may be sought). This clause is not intended to prevent legitimate business—if a User was already known to you independent of OffMarketPropertyLink, or you genuinely come across them outside of our Platform without using information gained here, that might not be a breach; however, the burden will be on you to demonstrate that an introduction or knowledge was obtained independently and not via the Platform. To avoid any doubt or disputes, we strongly encourage that if you have been introduced via the Platform, keep all relevant communications on-platform or at least document that OffMarketPropertyLink was the source of introduction. Transparency with us is key: if an Investor or Sourcer tries to initiate an off-platform deal that would circumvent us, we ask that you report it to us. We value our community and will handle such matters with discretion, focusing on maintaining a fair marketplace for all.
Exceptions and Permitted Use of Information: Nothing in the above confidentiality and non-circumvention clauses is meant to stifle normal business reference-checking or the use of public domain information. If a piece of information is lawfully and publicly available (not due to a breach of these Terms), then using or sharing that public information is not a violation of confidentiality. Similarly, an Investor can discuss a property deal in principle with their spouse or business partner, for example, as long as that person is effectively part of the Investor’s decision-making team and is bound to keep the information confidential. Our goal is not to impede necessary communications, but to ensure that introductions and information gained through OffMarketPropertyLink are not misused to our detriment or to the detriment of other Users. By using the Platform, you agree that these restrictions are reasonable and necessary to protect the legitimate interests of all parties involved.
No Warranty and “As-Is” Service: OffMarketPropertyLink provides the Platform and all services “as is” and “as available,” without any warranties of any kind, either express or implied. Use of the Platform is at your own risk. We do not guarantee that the Site will be available at all times or without interruptions, nor do we guarantee that the Platform will be free from errors, bugs, or harmful components (such as viruses). To the fullest extent permitted by law, OffMarketPropertyLink disclaims all warranties, express or implied, in connection with the Platform and your use thereof, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy of data, and any warranties that may arise from course of dealing or usage of trade. We make no warranty or representation that the Platform will meet your requirements or expectations, or that any results or deals obtained through the Platform will be successful or satisfactory to you. If you are dissatisfied with the Platform or any content on it, your sole remedy is to stop using it. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you – in such case, they will be interpreted to provide the maximum protection to OffMarketPropertyLink allowed by applicable law.
Not Responsible for Users or Content: OffMarketPropertyLink is not responsible or liable for the actions, omissions, or content of its Users. This means we are not liable if a Property Sourcer provides inaccurate information, fails to honor a commitment, or otherwise causes harm; and we are not liable if an Investor fails to perform, backs out of a deal, or misrepresents their financial standing. We do not screen or vet Users beyond basic registration checks, and even if we label someone as a “Verified” or “Compliant” Sourcer or a “Vetted” Investor, such designations are based on limited information (e.g., self-reported compliance membership, or proof-of-funds at one point in time) and do not constitute an endorsement or warranty by us of any User’s reliability or capability. Any profiles, ratings, or reviews on the Site are user-generated and while we may moderate obviously inappropriate content, we do not guarantee their truthfulness. You should treat interactions on the Platform as you would any initial business meeting: proceed carefully, verify critical details independently, and do not assume that simply because someone is using our service, they are trustworthy or suitable for your needs. OffMarketPropertyLink is not responsible for any agreements or transactions between Users beyond facilitating the introduction. We are not a party to contracts between Investors and Property Sourcers, and we do not guarantee that either party will fulfill its obligations in any ensuing Deal.
No Liability for Outcomes: OffMarketPropertyLink has no control over, and no liability for, the outcome of any property transaction or investment opportunity discussed on our Platform. We are not liable for any loss, damage, cost, or harm (including without limitation financial loss, opportunity loss, or reputational harm) that may occur to any User arising out of or related to a Deal or attempted Deal. This includes, but is not limited to: losses due to a property’s condition or defects, a deal falling through, a party’s breach of contract, changes in market conditions, legal or regulatory hurdles, title or ownership issues, financing problems, tenant issues, or any other circumstances that can affect property investments. Investors and Property Sourcers each assume these risks when deciding to pursue a transaction. OffMarketPropertyLink does not provide legal advice, and nothing on our Platform should be construed as such. Any legal or contractual templates, guidelines, FAQs, or tips we provide (if any) are for general informational purposes, and you use them at your own risk after consulting your own advisors.
Third-Party Content and Services Disclaimer: As noted, our Platform may contain content provided by third parties or links to external sites or services. OffMarketPropertyLink does not have control over those third parties and thus disclaims any liability for any third-party content or services. We do not assume any responsibility for the accuracy or reliability of information provided by third parties (such as market data from a third-party source, or articles/blogs we might link to). If you follow a link to another website, be aware that your use of that site will be governed by its own terms and policies, not ours. OffMarketPropertyLink will not be liable for any damage or loss caused or alleged to be caused by or in connection with your use of any third-party site or resource.
Regulatory Status: OffMarketPropertyLink is not regulated by the Financial Conduct Authority (FCA) or any other financial or real estate regulatory body. We are not a collective investment scheme, not an alternative investment fund, and not a regulated credit broker. The Platform is simply a tool for introductions and does not involve the offering of securities or investment contracts. Any property transaction typically falls outside of financial regulation, but if you have any doubt about regulatory protections or whether you might be entering a regulated transaction, you should seek appropriate advice. By using the Platform, you acknowledge that you will not have the benefit of regulatory safeguards that might apply to regulated investments or services. For example, there is no FSCS (Financial Services Compensation Scheme) coverage or recourse to the Financial Ombudsman in relation to any dealings on our Platform. We aim to operate ethically and transparently, but we operate in a realm that is largely unregulated (property introductions), and you accept that reality by using our services.
Exclusion of Certain Damages: To the fullest extent permitted by applicable law, OffMarketPropertyLink and its officers, directors, employees, affiliates, agents, and licensors shall not be liable to you (whether as a Property Sourcer, Investor, or other User) for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, loss of revenue, loss of goodwill, loss of business opportunity, loss of data, or loss of anticipated savings, arising out of or in connection with your use of (or inability to use) the Platform or any service provided under these Terms. This limitation applies regardless of the legal theory of liability (whether in contract, tort, negligence, strict liability, or any other theory) and even if we have been advised of the possibility of such damages. For example, we will not be liable for any loss of profit you might incur by missing out on a deal, nor for any costs you invest in due diligence that doesn’t lead to a closing, nor for any reputational harm or business interruptions you suffer as a result of a dispute or a user’s bad behavior.
Cap on Liability: To the extent that our liability is not completely excluded by the above, in no event shall the total aggregate liability of OffMarketPropertyLink (and its affiliates and agents) to any User for any and all claims arising out of or related to the use of the Platform or these Terms exceed the total amount of fees paid by that User to OffMarketPropertyLink in the twelve (12) months preceding the event giving rise to the liability. For Property Sourcers, this would typically mean the total Commission fees you paid us in that period. For Investors, since you generally pay us no fees, our liability cap for you would be £0 (zero) or the minimum amount permissible by law. Where a claim does not relate to a specific paid transaction or fee (for instance, if you claim we mishandled data or something unrelated to commission), the liability cap shall be the amount of £100 GBP as a reasonable estimation of the value of the free services provided to you. This limitation is a fundamental part of the bargain between you and us – the Platform could not be offered on an economically feasible basis without such limits.
Exceptions: Nothing in these Terms shall limit or exclude liability for (i) death or personal injury caused by that party’s negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability which cannot be limited or excluded under applicable law (such as certain statutory rights under consumer laws that may apply). However, to the extent that any such liability can be limited, it is limited to the smallest degree permitted by law. Apart from these specific exceptions, you agree that the limitations and exclusions of liability set forth in these Terms will apply even if any limited remedy fails of its essential purpose.
Release: Because OffMarketPropertyLink is not involved in actual transactions between Users, in the event that you have a dispute with one or more Users (for example, an Investor has a dispute with a Property Sourcer or vice versa, or either has a dispute with a referred third-party service), you release OffMarketPropertyLink (and our officers, directors, agents, subsidiaries, joint ventures, employees, and successors) from any and all claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California (USA) resident, you waive California Civil Code §1542 (and any analogous law in any jurisdiction), which says: “A general release does not extend to claims which the creditor (or claimant) does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.” In simpler terms, you expressly waive any protections that would otherwise limit the coverage of this release to include only those claims you may know about (you waive rights to claims you might not yet be aware of).
You agree to indemnify and hold harmless OffMarketPropertyLink, its owners, operators, affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, losses, damages, judgments, settlements, fines, penalties, and expenses (including reasonable legal fees and costs) arising out of or related to: (a) your use or misuse of the Platform, (b) your breach of any provision of these Terms or any warranty or representation made by you in these Terms, (c) any content or information you provide through the Platform (for example, any false, misleading, or infringing information in a property listing or user profile), (d) any actual or alleged infringement of third-party rights by you (including intellectual property rights or privacy rights) in connection with your use of the Platform, or (e) any dispute or litigation between you and any other user or third party as a result of interactions on the Platform (for instance, any dispute arising out of a Deal or attempted Deal, or an Investor’s claim against a Sourcer, etc.).
This means, for example, if you are a Property Sourcer and an Investor sues OffMarketPropertyLink claiming that we are responsible for a misrepresentation in your property listing, you agree to cover our costs and liability in that claim. Similarly, if you are an Investor and you post defamatory comments about a Property Sourcer on our site leading the Sourcer to take legal action against us, you would reimburse us. OffMarketPropertyLink reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defense of such claim and you will still indemnify us for the costs). This indemnity obligation will survive any termination of your relationship with OffMarketPropertyLink or your use of the Platform. We will promptly notify you of any such claim and provide you (at your expense) reasonable assistance in defending the claim. You may not settle any claim in a manner that imposes any liability or obligation on OffMarketPropertyLink without our prior written consent. We may settle a claim with your consent (not to be unreasonably withheld), or without your consent if required by court order or if it only requires you to pay money (which you will still be responsible for under this indemnity).
By OffMarketPropertyLink: We reserve the right to suspend, restrict, or terminate your account or access to the Platform at any time, with or without cause, and with or without prior notice. Causes for termination may include (but are not limited to) your breach of these Terms, your violation of any applicable law or regulation, our belief in good faith that you have engaged in fraudulent, abusive, or harmful behavior on the Platform, your non-payment of any fees owed, or any act that we think may cause damage to our reputation or to other users. We may also terminate accounts that have been inactive for an extended period or in response to user requests to delete account data. If your account is terminated or suspended due to a breach of these Terms or misconduct, you are not entitled to any refund of any fees paid (if any) and you may not create a new account or access the Platform without our explicit permission. Termination of your access does not waive or affect any other right or remedy we may have against you for prior breaches.
By You: You may stop using the Platform at any time and/or request the deletion of your account by contacting us at contact@offmarketpropertylink.co.uk. If you are a Property Sourcer with ongoing Investor introductions or negotiations, or an Investor involved in ongoing discussions, we encourage you to conclude or formally withdraw from those engagements before leaving the Platform for a cleaner break in communication. However, you are free to leave at any time. Please note that if you have entered into any separate agreement with another user (e.g., a sourcing contract), terminating your Platform account does not terminate your contractual obligations to that party – you must handle that separately with the other user.
Effect of Termination: Upon termination of your account for any reason, your right to access or use the Platform will cease. We may immediately deactivate or delete your account and all associated data and content, or we may retain certain information as needed for record-keeping or legal compliance (in accordance with our Privacy Policy). OffMarketPropertyLink will not be liable to you or any third party for account termination or for the deletion or loss of any content associated with your account, provided we have not breached any data protection laws in doing so. Importantly, any provisions of these Terms that by their nature should survive termination shall survive. This includes, without limitation: the obligation to pay any outstanding Commission or other fees, the confidentiality and non-circumvention commitments, disclaimers of warranty, limitation of liability, indemnities, and governing law and dispute resolution provisions. For example, if you as a Property Sourcer terminate your account but later close a deal with an Investor you met through the Platform while you were a member, you will still owe the Commission for that deal (and any subsequent deals, per the Terms) despite no longer being an active user. Likewise, even if an Investor leaves, they are still expected to honor confidentiality and non-circumvention regarding any contacts or information received while on the Platform.
Updates to Terms: OffMarketPropertyLink may revise or update these Terms of Service from time to time. Laws change, and our services may evolve, so we may need to modify the Terms to reflect these changes. Whenever we make a material change, we will post the updated Terms on the Site (and update the “Last Updated” date at the top). In some cases, we may also notify you via email or via an in-platform notification about the changes, especially if they are significant. It is your responsibility to review these Terms periodically. By continuing to use the Platform after any changes to the Terms become effective, you agree to be bound by the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform and, if applicable, cancel your account. No unilateral change or update will retroactively modify any commission agreement for deals already closed – such deals will remain governed by the Terms in effect at the time of the introduction, unless both parties (you and OffMarketPropertyLink) agree otherwise. However, any new transactions or continued usage of the Platform will be under the new Terms.
Changes to Services: We reserve the right to modify, suspend, or discontinue any aspect of the Platform or the services we offer, at any time and without liability. This could include adding new features, removing existing features, changing how introductions are made, instituting new fees or changes in fee structure (consistent with the Terms and with notice for material changes), or shutting down the Platform entirely. We will strive to give advance notice if any change will significantly affect the usage of the Platform, but there may be instances (such as security issues or compliance with legal requirements) where immediate changes are necessary and notice might be limited or after the fact. OffMarketPropertyLink shall not be liable to Users or any third party for any modification, suspension, or discontinuation of the Platform or any part of it. If you are on a paid plan or subscription (if we introduce such in the future) and we discontinue the service, we will provide a pro-rata refund for any remaining unused portion of your subscription, as required by consumer laws.
Entire Agreement: These Terms (including any documents incorporated by reference, such as our Privacy Policy and any additional guidelines on the Site) constitute the entire agreement between you and OffMarketPropertyLink regarding the use of our Platform and services. They supersede all prior or contemporaneous communications, understandings, or agreements (whether oral or written) between us and you relating to the subject matter herein. You acknowledge that you have not relied on any statement, promise, or representation by OffMarketPropertyLink or our representatives that is not explicitly set out in these Terms, and we acknowledge the same toward you. Any additional or different terms proposed by you (for example, in an email or a purchase order) are rejected unless expressly agreed to in a written amendment signed by both you and an authorized representative of OffMarketPropertyLink.
No Waiver: Our failure or delay in exercising any right, power, or privilege under these Terms (such as not immediately acting on a breach by you) shall not operate as a waiver of that right or provision, nor shall any single or partial exercise of any right or power preclude any other future exercise of that or any other right or power. In other words, if we do not enforce a provision of these Terms in one instance, it does not mean we have waived our right to enforce it in another instance or in the future. Any waiver of any provision of these Terms will be effective only if in writing and signed by OffMarketPropertyLink.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or any authority, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will either (i) be amended to achieve as closely as possible the effect originally intended by the parties, or (ii) if amendment is not possible, be deemed severed from the Terms. In either case, the remainder of the Terms shall continue in effect.
No Agency or Partnership: You and OffMarketPropertyLink are independent contractors, and nothing in these Terms is intended to create, nor shall it be construed as creating, any partnership, joint venture, employment, or agency relationship between us. Neither party has the authority to bind or incur obligations on behalf of the other. Property Sourcers and Investors are also independent from each other except to the extent they separately contract between themselves. These Terms should not be interpreted as creating any association, joint venture, or partnership between any users vis-à-vis OffMarketPropertyLink. Each party is responsible for its own taxes, insurance, and all other obligations arising from its activities.
No Third-Party Beneficiaries: These Terms are for the benefit of the parties (OffMarketPropertyLink and Users) and their permitted successors and assigns. Except as expressly provided in these Terms, no person or entity who is not a party to these Terms shall have any right to enforce any term of these Terms. For clarity, although we facilitate introductions between Investors and Property Sourcers, an Investor is not a third-party beneficiary of the Property Sourcer’s obligations to pay Commission to us (nor vice versa), and an Investor cannot, for example, seek to enforce that clause on our behalf. Similarly, even though we expect honesty and good conduct between Users, a Property Sourcer is not entitled to claim under our contract with an Investor or vice versa; any disputes between them must be resolved via their own agreements or under general law, not under these Terms which govern the relationship with OffMarketPropertyLink. The provisions of the UK Contracts (Rights of Third Parties) Act 1999 (and any similar laws in other jurisdictions) are expressly excluded to avoid any third-party enforcement of this contract, except as may be otherwise agreed in writing.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment without such consent will be null and void. OffMarketPropertyLink may assign or transfer our rights and obligations under these Terms freely to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law, or any other transfer of our business (in whole or in part) to another entity. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
Notices: OffMarketPropertyLink may provide notices or communications to you via email (to the address associated with your account), via regular mail (if you have provided a postal address), via postings within the Platform (such as account notifications), or through any other reasonable means. You are responsible for keeping your contact information up-to-date. Notices sent by email will be deemed received 24 hours after the email is sent, unless we receive a bounce-back indicating the address is invalid. Notices by postal mail will be deemed received 3 business days after mailing (for UK addresses) or 7 business days (for international addresses). You may send formal notices to us by postal mail or email; however, for legal notices (such as notices of dispute, or alleged breach), we request that you send both an email to contact@offmarketpropertylink.co.uk and a copy via recorded postal mail to any physical address we have provided for our company (if available on our website or via Companies House). Currently, you may send correspondence to us at our email address as the primary point of contact.
Force Majeure: OffMarketPropertyLink will not be liable for any delay or failure in performance of the Platform or our obligations under these Terms resulting from causes outside our reasonable control, such as acts of God, war, terrorism, cyber attacks or hacking beyond our reasonable prevention, civil unrest, natural disasters, epidemic or pandemic, governmental regulations or actions, strikes or labor disputes, power outages, or Internet/service provider failures. We will use reasonable efforts to mitigate the effects of any such force majeure event and resume full performance as soon as practicable.
Headings and Interpretation: The section headings in these Terms are for convenience only and have no legal or contractual effect. Words like “including” or “for example” shall be construed without limitation – i.e., as if followed by “without limitation”. These Terms were written in English; if they are translated into another language, the English text shall govern in the event of any conflict.
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Platform or these Terms shall be governed by and construed in accordance with the laws of England and Wales. By using the Platform, you agree that any disputes arising under these Terms or relating to your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. You and OffMarketPropertyLink both consent to the personal jurisdiction of such courts and waive any objections (such as inconvenient forum) to the exercise of jurisdiction over you by such courts. If you are using the Platform as a consumer (not in the course of business) and mandatory local consumer protection or conflict-of-laws rules would give you the right to bring disputes in your home jurisdiction, this governing law and jurisdiction clause does not override those rights; but to the extent permitted, you agree to submit to the jurisdiction of England and Wales.
If you are located outside of England and Wales, please note that by using the Platform, information you provide may be transferred to the United Kingdom and that by continuing to use the Platform you consent to this transfer. While we make no submission to other jurisdictions’ laws and choose England and Wales law to govern, we do not seek to limit any rights you may have under the consumer laws of your home country if those apply and cannot be waived by contract.
